Ethics & Code of Conduct Course Description:

Ethics & Code of Conduct is a flexible, powerful tool for training on the fundamentals of ethical behavior and legal compliance in the workplace.  It also provides unique and dynamic customization capabilities to communicate the specifics of your organization's Code of Conduct.  Ethics & Code of Conduct is designed to help organizations comply with both Sarbanes-Oxley (SOX) directives and recent amendments to both the Federal Sentencing Guidelines (FSGs), and the Federal Acquisition Regulations (FAR), significantly mitigating your organization's potential liability and avoiding costly fines and penalties.

This course is not just for publicly traded companies – it is a general awareness course on ethics, and key components of a company’s Code of Conduct.

60 minutes

A Spanish version of the training is also available upon request!

Having Challenges Purchasing Licenses?

Pop-up blockers may be preventing you from continuing with your purchase.  A simple solution is to hold down the control key on your keyboard while you click on the Purchase Now link above.  Holding down the control key disables your pop-up blocker, and allows you to continue with the purchase process.  Click here for more information on pop-up blockers.

Customization Features Include:

  • Your organization's logo on every screen
  • Your organization's policy, with individual receipt and acknowledgement tracked
  • Your organization's "Ask a Question" resource

For optimal compliance with the SOX and the FSGs, both SHRM and ELT strongly recommend that the course be customized to include your organization's policy and contact information for users who have questions regarding the training.  If you do not include these customizations in your course and wish to comply with SOX, you will need to provide alternative mechanisms for providing this information in conjunction with the training.

Employer Obligations Under FSGs, SOX and FAR:

Publicly traded companies must disclose if they have a Code of Conduct or explain why not.  Training is not expressly required under SOX, but it does require clear communication of reporting channels and protocols, as well as establishing a procedure for the confidential, anonymous reporting of complaints.  Such "procedures" naturally involve training.

The FSGs set out a uniform sentencing policy for defendants, including employers.  They mandate effective and "periodic" ethics training for all organization to all employees.  Complying with the guidelines can reduce fines up to 95%.

2007 amendments to FAR affirmatively require most companies doing business directly or indirectly with the federal government to: (1) adopt a Code, and (2) educate all employees on its provisions.
